Value Proposition:

3 Million Dollar Equity Investment
OCFN closed on a 3 Million dollar equity investment through the direct placement of its common stock to three private investors on September 13, 2013. The 30 million shares purchased at 0.10 per share illustrated the shares were valued and purchased at a premium based on the market’s closing price at the time of the purchase. This transaction was facilitated through OCFN’s Direct Public Offering, which provides for the direct sale of these registered shares to investors pursuant to the company’s S-1 registration statement that became effective on January 30, 2013.

40 Million Dollar Capital Investment
OCFN filed an 8-k material event on October 9, 2013 to consummate a corporate action that entailed the closing of a cash investment and execution of its capital markets strategy through a Unit Subscription Agreement with nine investors. The investment encompasses the sale of 900 units each priced at 45,156.85 dollars totaling a 40,642,069 dollar investment that was deposited into an OCFN cash account.

Long Term Growth Capital
OCFN negotiated with these nine investors, the issuance of 101,258,100 Warrants (the “Common Stock Warrants”) that will give them the right to purchase additional OCFN shares over the next 3-years at a Strike Price of 1.42 per share or a total cash payment of an addition 143,819,202 dollars to OCFN.

Capital MatchPointTM Acquisition
Capital MatchPointTM acquisition (“CMP”) is an International Social Network and Internet Platform with eCommerce transactional capabilities. CMP is a two-party “matching” mechanism for the Capital Seeker and Capital Provider markets. The automated system aggregates, sorts, matches, notifies and routes user requests to provide or receive funding. CMP is configured to serve as a Social Network and Internet Transaction Platform for virtually any other application where there is a two-sided market of users, (buyers/sellers, users/providers, etc.), in need of a web-based meeting place and a matching process, i.e. Real Estate, Technology, Health Care, and even Crowd Funding. The Crowd Funding market could rapidly evolve as large as 3.98 Billion dollars per year as some Research Institutions believe. CMP is also launching a medical marijuana-financing product to capitalize on the ever fast upward moving revenue trend within the legalized marijuana space through its web portal.

NCM Wireless Ownership
NCM is a private company and experienced Amazon merchant who has over 9 years of expertise in buying and selling cellular phones with distribution rights from Samsung through Amazons web portal, which generated 4.7-million dollars in sales over an 8-month trailing period. Omega executed a Share Exchange Agreement with NCM for 49% ownership of their operations. What makes this compelling is that NCM is able turn over cash 2x to 3x a month creating constant short-term revenue generation at healthy profit margins.

Consulting/Ownership Agreement w/a GPS Tracking Company
Omega just executed a Capital Markets Consulting agreement with a ‘diamond in the rough’ up incoming private GPS tracking company giving Omega 5% ownership, rights to provide consulting services, as well as investment banking rights should the GPS company decide to go public. The company developed and manufacturers a state of the art compact GPS locator device that provides a web based tracking service in real time via any mobile device providing a unique technological yet universal approach to tracking. This technology provides instant feed to your mobile device such as how fast your child is driving, when your child crosses a specified boundary, the exact location of your lost dog etc. The company currently holds over 100 million dollars in purchase orders requesting immediate fulfillment of their tracking units including interest by the Centers for Disease Control who are requesting the production of 100,000 units as a test pilot.

Broker Dealer Acquisition
Omega is executing signatures Friday with the broker dealer on a purchase agreement giving Omega 24% ownership interest and option to purchase the remaining 76%. This acquisition enables Omega to utilize the broker dealer to market its capital raising offerings and products as well as monetized Omega’s acquisition of Captial MatchPoint by positioning them as a leading force in the Crowd-funding web portal space allowing them to now create revenue participating in all the funding activity through charging investment-banking fees. Additionally, it enables Omega to take companies such as the GPS tracking company public eventually or at least control the investment banking rights.

Vanguard Properties
Omega entered into a binding LOI for a Share Exchange Agreement giving signed Omega 49% ownership of a licensed real estate brokerage firm that enables Omega to expand by hiring real estate agents, thus creating another source of revenue.
