Subject: 🗳️ Carbon Co-op AGM announcement - 24 June | 7 PM

Hi Friend,

What a year it has been for our community! Thanks to your ongoing support and dedication, we’ve made fantastic strides in reducing domestic carbon emissions and pushing for impactful energy policies.

To keep things running smoothly, notice is hereby given that we will be holding our Annual General Meeting (AGM) online on Wednesday, June 24th at 7:00 PM. This meeting will be focused purely on the procedural business that keeps Carbon Co-op functioning, but will be organising an in-person social event later in the summer.

Looking ahead to our Summer Social!

While the AGM is virtual, we absolutely want to celebrate our collective wins together in person. We are currently planning a much more relaxed, in-person member social event for later this summer! Keep an eye on your inbox for more details on that soon.

In the meantime, please review the formal agenda for our virtual AGM below.

The Society for the Reduction of Carbon Limited (trading as Carbon Co-op) - AGM Agenda (The Official Business)

As a requirement of our rules, a general meeting cannot transact any business other than what is specified in this notice. The business of this annual general meeting will comprise:

  1. Members present & apologies

  2. Minutes of the last meeting

  3. Report on the year and future plans: A look back at what we’ve achieved and a receipt of the reports of the Board.

  4. Presentation of accounts 2024/2025: The receipt of the accounts and balance sheet.

  5. Application of profits: A formal consideration of the application of any profits of the Society.

  6. Auditor Resolution: We are making a proposal to: “dis-apply the requirement to appoint an auditor in line with the Co-operative and Community Benefit Societies Act 2014”.

  7. Board Election: The election of the Board of Directors for the coming year. We are particularly keen for Carbon Co-op members from under-represented groups to stand for election. We want our board to reflect the rich diversity of the communities we serve, and we warmly welcome the fresh perspectives you can bring! If you are interested in standing, please express your interest here.

The Formal Details

  • Voting: Each member has one vote on any question decided at the general meeting. We will arrange for an online voting system for members.

  • Quorum: To make our decisions official, we need a quorum of 15% of Carbon Co-op member or 15 members, whichever is lower - although we hope to see many more of you!

  • Proxies: If you cannot make it, you can still have your say! A proxy may be appointed by a member to represent them, speak, and vote on their behalf. We have created a form to simplify the proxy process.

    • A proxy does not need to be a member.

    • To appoint one, you must provide a valid appointment in writing to the board at least two clear days prior to the meeting.

    • Please note that a single proxy may not act for more than three members.
